By accessing or using Valplaude ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

The Service is operated by Valplaude ("we", "us", or "our"). We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.

2. Description of Service

Valplaude is a cloud-based approval management system that allows teams to:

• Create and submit approval requests
• Assign approvers and track request status
• Maintain an audit trail of all decisions
• Manage team members and roles

2.1 Beta Services

You acknowledge that the Service is currently in a beta release ("Beta Services"). You understand and agree that:

• The Beta Services are still under development and may contain bugs, errors, or feature limitations.
• The Beta Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind.
• We may modify, suspend, or discontinue any part of the Beta Services at any time without prior notice.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4. Subscriptions and Payments

4.1 Subscription Plans

We offer various subscription plans with different features and pricing. Current pricing is available on our Pricing page.

4.2 Payment Processing

All payments are processed through Paddle, our Merchant of Record. By subscribing, you also agree to Paddle's terms of service.

4.3 Refunds

We offer a 30-day money-back guarantee for new subscriptions. After 30 days, refunds are provided at our discretion.

4.4 Cancellation

You may cancel your subscription at any time. Access continues until the end of your billing period. No partial refunds are provided for early cancellation after the 30-day guarantee period.

5. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malicious code or viruses
• Attempt to gain unauthorized access to our systems
• Harass, abuse, or harm others
• Send spam or unsolicited communications
• Impersonate others or provide false information

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

7. Intellectual Property

The Service, including its design, features, and content, is owned by Valplaude and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written consent.

You retain ownership of all data you submit to the Service. By using the Service, you grant us a license to host, store, and display your data as necessary to provide the Service.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may:

• Perform scheduled maintenance with advance notice when possible
• Experience unplanned outages due to technical issues
• Modify or discontinue features with reasonable notice

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "AS IS" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount you paid us in the past 12 months

10. Indemnification

You agree to indemnify and hold harmless Valplaude and its employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your account if you violate these Terms. Upon termination:

• Your right to use the Service ends immediately
• We may delete your data after a reasonable retention period
• Provisions that should survive termination will remain in effect

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which Valplaude operates. Any disputes shall be resolved in the courts of that jurisdiction.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via email or through the Service. Your continued use after changes constitutes acceptance.
